I think the Pac has to keep intact, if only to monetize what they're owed by their NCAA / network contracts. That means, likely, adding 3-4 schools to satisfy conference member ship minimums, rather than take pauper deals (at least at the front end) from existing conferences.
How about if the SEC "lends" a few teams to the Pac 10 to satisfy that need, participate in the windfalls, then add the Pac teams as full members?
